3. User Responsibilities and Conduct

When using our services, you agree to:

Provide accurate, complete, and current information about your requirements
Maintain the confidentiality of any login credentials or access codes
Use our services only for lawful purposes and in accordance with these Terms
Not interfere with or disrupt the integrity or performance of our services
Not attempt to gain unauthorized access to our systems or networks
Respect intellectual property rights and not copy, distribute, or modify our content without permission

4. Client Obligations

For on-site services, clients are responsible for:

Ensuring safe and appropriate access to work areas
Providing necessary safety equipment and briefings as required by local regulations
Maintaining appropriate insurance coverage for their facilities and operations
Providing accurate technical documentation, drawings, and system specifications
Obtaining necessary permits and approvals for work to be performed
Ensuring compliance with local electrical and safety codes

5. Payment Terms and Conditions

Quotes and Estimates:

All quotes are valid for 30 days from the date of issue
Quotes are based on information provided and may change if requirements differ
Emergency or after-hours services may incur additional charges

Payment Terms:

Standard payment terms are Net 30 days unless otherwise specified
A deposit may be required for large projects or new clients
Late payment fees may apply to overdue accounts
All prices are exclusive of applicable taxes unless stated otherwise

6. Warranty and Service Guarantee

Our services come with a standard 90-day warranty for workmanship from the date of completion.

Warranty Coverage:

Defects in workmanship and programming errors
Faulty installation or configuration
Non-compliance with agreed specifications

Warranty Exclusions:

Normal wear and tear of equipment
Damage caused by misuse, neglect, or improper operation
Issues arising from unauthorized modifications or third-party interventions
Environmental damage or acts of nature
Hardware failures not related to our installation or programming

7. Limitation of Liability

To the maximum extent permitted by law, S&B Automation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising from your use of our services.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

8. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of S&B Automation and is protected by copyright and other intellectual property laws.

Custom programming and system designs created for clients remain the property of the client upon full payment, unless otherwise agreed in writing. However, S&B Automation retains the right to use general methodologies, techniques, and know-how developed during the provision of services.

9. Confidentiality

We understand that our work may involve access to confidential information about your operations, processes, and systems. We commit to maintaining strict confidentiality and will not disclose any proprietary information to third parties without your written consent, except as required by law.

10. Force Majeure

S&B Automation shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government regulations.

11. Termination

Either party may terminate a service agreement with reasonable notice. Upon termination, you remain liable for all charges incurred up to the termination date. Provisions regarding payment, confidentiality, and limitation of liability shall survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to mediation or arbitration as agreed by both parties.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
